TERMS AND CONDITIONS: FINANCIAL & DIGITAL ASSET FORUM

GOVERNING JURISDICTION: STATE OF FLORIDA EFFECTIVE DATE: MAY 2026

1. NO FINANCIAL OR FIDUCIARY SERVICES

The Forum is a private venue for the exchange of data and opinions only.

Educational Purpose: All content, including VIP one-on-one responses, is for impersonal, bona fide financial education and research publications.
Not an Advisor: Membership does not create an advisor-client or fiduciary relationship. The Forum is not an "Investment Advisor" under the Investment Advisers Act of 1940 or Florida statutes.
Not an MSB: You acknowledge the Forum does not facilitate the transmission of monetary value. We are not a "Money Services Business" (MSB) as defined by Florida Statute Chapter 560.

2. MANDATORY CONSENT TO RECORD & ARCHIVE (VIP TIER)

Florida is an "All-Party Consent" state (Fla. Stat. § 934.03).

Irrevocable Consent: By participating in a VIP one-on-one session, you provide irrevocable consent to the electronic recording of the session.
Archive Rights: You waive all "Right of Privacy" and "Right of Publicity." You acknowledge that these recordings will be archived and made accessible to other VIP members as historical educational literature.
Anonymity Risk: While the Forum may attempt to redact identifiers, you assume the risk that your voice or specific questions may be identifiable to other members.

3. SOURCE OF WEALTH (SoW) AFFIRMATION

As a condition of VIP access, you hereby represent and warrant:

Legitimacy: All capital, digital assets, and stablecoins used by you are derived from lawful sources and have not touched wallets associated with sanctioned entities.
Compliance: Your assets comply with the GENIUS Act of 2025 and Florida SB 314.
Indemnification: You agree to indemnify the Forum from any investigations arising from the origin of your wealth.

4. PROHIBITION ON OBFUSCATION & "MIXING"

To protect the community’s legal standing, the following are strictly prohibited:

No Mixing Services: Discussion or recommendation of digital asset mixers, tumblers, or technologies designed to hide the "Source of Funds" (SoF).
No Compliance Circumvention: Strategies to bypass "Travel Rule" requirements or BSA reporting.
No Peer-to-Peer Facilitation: Using the Forum to act as an intermediary, "paymaster," or to coordinate OTC swaps between members.

5. INTERACTIVE CONTENT & MARKET INTEGRITY

Section 230 Protection: The Forum is not the "publisher" of member-generated comments. We are not liable for inaccurate financial claims made by users in chat or comment sections.
Anti-Manipulation: You agree not to use the Forum to coordinate "pump-and-dump" schemes or any action intended to manipulate the price of traditional or digital assets.
Absolute Moderation: The Forum reserves the right to edit, delete, or "ghost-ban" any comment at its sole discretion to ensure compliance with Florida law.

6. CONFIDENTIALITY & LIQUIDATED DAMAGES

Trade Secrets: All VIP strategies, one-on-one responses, and Archive content are Trade Secrets under Florida Statute § 688.002.
Penalty: Any member who leaks, screenshots, or shares VIP content with non-members agrees to pay Liquidated Damages of $50,000 per occurrence.

7. UNILATERAL TERMINATION & FAIR ACCESS

Revocable License: Membership is a revocable license, not a property right. The Forum may terminate access at any time, for any reason, without notice.
FAIR Act Compliance: Termination for conduct violations (solicitation, trolling, or spreading "FUD") is a "reasonable and necessary" business practice under the FAIR Act of 2025.

8. DISPUTE RESOLUTION: FLORIDA VENUE

Mandatory Venue: Any litigation must be filed exclusively in the Circuit Court for Miami-Dade, Florida.
Attorney’s Fees: The prevailing party is entitled to recover all reasonable attorney’s fees.
Jury Waiver: You irrevocably waive your right to a jury trial in any matter arising out of this agreement.
